These Terms of Service ("Terms") govern your access to and use of the website northpeak-solutions.info (the "Site") and any services provided by NorthPeak Solutions Inc. ("NorthPeak," "we," "us," or "our"), a corporation registered in British Columbia, Canada.

By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Site or services.

1. Services

NorthPeak Solutions provides IT consulting, cloud migration, cybersecurity, managed IT, network infrastructure, and strategic technology advisory services (collectively, the "Services"). The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or service agreement executed between NorthPeak and the client.

2. Use of the Website

2.1 Permitted Use

You may use the Site for lawful purposes related to learning about our company and services, submitting inquiries, and accessing information we make publicly available.

2.2 Prohibited Use

You agree not to:

• Use the Site in any way that violates applicable federal, provincial, or local laws or regulations
• Attempt to gain unauthorised access to any part of the Site, its servers, or any connected systems
• Use automated tools (bots, scrapers, crawlers) to access the Site without our prior written consent
• Transmit any viruses, malware, or harmful code through the Site
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Site's operation or the servers and networks connected to it
• Copy, reproduce, or distribute any content from the Site without our written permission

3. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, and software, is the property of NorthPeak Solutions Inc. or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent.

The NorthPeak Solutions name, logo, and all related marks are trademarks of NorthPeak Solutions Inc. Use of these marks without our written permission is strictly prohibited.

4. Client Engagements

Professional services engagements are governed by individual service agreements or Statements of Work. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail with respect to the specific engagement.

5. Confidentiality

NorthPeak treats all client information with the utmost confidentiality. Any confidential information shared with us in the course of a service engagement will be protected in accordance with our service agreements and applicable privacy legislation, including PIPEDA.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied
• NorthPeak Solutions does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components
• In no event shall NorthPeak Solutions, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site
• Our total aggregate liability for any claim arising from or related to the Site shall not exceed one hundred Canadian dollars (CAD $100.00)

Liability limitations for professional services are defined in the applicable service agreement.

7. Indemnification

You agree to indemnify, defend, and hold harmless NorthPeak Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Site or violation of these Terms.

8. Third-Party Links

The Site may contain links to third-party websites or services. These links are provided for convenience only and do not constitute an endorsement. NorthPeak Solutions is not responsible for the content, accuracy, or practices of any third-party websites.

9. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for any reason, including but not limited to a breach of these Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, located in Vancouver.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NorthPeak Solutions regarding your use of the Site. Any prior agreements, representations, or understandings are superseded by these Terms.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after any changes indicates your acceptance of the revised Terms.
